These Terms and Conditions ("Terms") govern your access to and use of the websites, applications, products, and services ("Services") provided by Apex Lumina Payment, Inc. and its affiliates ("Apex Lumina Lumited", "Apex Lumina", "Lumina", "Lumina Pay", "Company", "we", "our", or "us").
By accessing or using our Services, you agree to these Terms.
If you do not agree, you must not use our Services.
1. IMPORTANT REGULATORY DISCLAIMER
Apex Lumina is a technology company. Apex Lumina is not a bank, not a deposit-taking institution, not licensed by the Central Bank of Nigeria, and does not hold customer funds. Where payments or financial products are offered, they are provided by licensed third-party institutions; Apex Lumina provides technology and facilitation only.
2. DESCRIPTION OF SERVICES
Services include SoftPOS technology, payment acceptance software, merchant tools, business software, AI-powered tools, APIs/integrations, websites, and dashboards. We provide technology only, not banking services.
3. ELIGIBILITY
You must be at least 18 years old, have legal authority, and provide accurate information. If acting for a company, you confirm authorization.
4. ACCOUNT RESPONSIBILITY
You are responsible for your login credentials, all activity under your account, and maintaining security.
5. THIRD-PARTY FINANCIAL SERVICES
Financial services accessible through our platform are provided by licensed third-party partners. Apex Lumina is not responsible for partner performance, downtime, or decisions. Your relationship with those providers is governed by their terms.
6. NO FINANCIAL OR LEGAL ADVICE
We do not provide financial, investment, legal, or tax advice. You are responsible for your own decisions.
7. ACCEPTABLE USE
You agree not to use Services for fraud, illegal activity, money laundering, unauthorized access, or harmful conduct. We may suspend accounts violating these Terms.
8. INTELLECTUAL PROPERTY
All rights in software, logos, content, designs, and AI systems belong to Apex Lumina. You may not copy without permission.
9. AI SERVICES DISCLAIMER
AI outputs may not always be accurate and are for informational purposes. You remain responsible for decisions made using AI output.
10. SERVICE AVAILABILITY
We do not guarantee continuous uptime or error-free operation. Services may be suspended for maintenance, security, or upgrades.
11. DISCLAIMERS
Services are provided "AS IS" and "AS AVAILABLE". We disclaim all warranties to the fullest extent permitted by law.
12. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Apex Lumina will not be liable for loss of profits, revenue, business, data, or indirect damages. Maximum liability is limited to fees paid in the last 12 months.
13. TERMINATION
We may suspend or terminate access at any time for Terms violations, security concerns, or legal requirements.
14. GOVERNING LAW
These Terms are governed by the laws of the State of Delaware, United States.
15. CHANGES TO TERMS
We may update these Terms at any time. Continued use means acceptance.

17. MERCHANT-SPECIFIC DISCLAIMER
Merchants agree Apex Lumina provides technology only; licensed institutions provide regulated services; Apex Lumina does not hold or store customer funds.
18. NO AGENCY RELATIONSHIP
Nothing in these Terms creates a banking, financial institution, or agency relationship between Apex Lumina and users.
